Terms of Service

"Buyer" means a registered business that purchases wholesale products through the Service (e.g., restaurants, cafes, food businesses).

"Seller" means a registered wholesale supplier that lists and sells products through the Service.

"Platform" means the Supligo mobile application and all associated services.

"Order" means a purchase transaction initiated by a Buyer for products listed by a Seller.

You must be at least 18 years of age and operate a legally registered business in Ontario, Canada to use the Service. By registering, you represent and warrant that:

• You have the legal authority to bind your business to these Terms;
• Your business is duly registered and in good standing;
• All information provided during registration is accurate and current;
• You will maintain the accuracy of your account information.

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use. We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

Orders: By placing an order, you agree to purchase the products at the listed price, subject to weight adjustments for weight-based products.

Payment: All payments are processed through our secure payment processor (Stripe). Payment is collected at the time of order placement.

Weight-Based Products: Certain products are priced by weight. The final price may be adjusted based on actual weight. You will be notified of any adjustments.

Cancellation: Orders may be cancelled before preparation begins. Once preparation has started, cancellation is subject to Seller approval. Refunds are processed within 5-10 business days.

Delivery: Delivery times are estimates and are not guaranteed. We are not liable for delays caused by circumstances beyond our control.

Product Listings: You are responsible for accuracy of your listings, including descriptions, pricing, and availability. Misleading listings may result in account suspension.

Order Fulfillment: You must fulfill accepted orders in a timely manner. Consistent failure may result in suspension or termination.

Commission: Supligo charges a commission on each completed order. The rate is communicated upon registration and may be updated with 30 days' notice.

Payouts: Seller payouts are processed weekly on Tuesdays via Stripe Connect, subject to a holding period for order verification.

Product Quality: All products must comply with applicable food safety regulations, including the Safe Food for Canadians Act and Ontario Food Safety standards.

All transactions are processed in Canadian Dollars (CAD). Supligo acts as a payment facilitator. Buyer payments are held in escrow until delivery is verified. Refunds are processed to the original payment method. We reserve the right to modify our fee structure with 30 days' advance notice.

Supligo facilitates delivery through Seller-managed drivers or third-party logistics. A delivery PIN is provided for order verification. Orders not disputed within 24 hours of delivery are considered accepted. Risk of loss transfers to the Buyer upon successful PIN verification.

Disputes regarding order quality, quantity, or condition must be reported within 24 hours of delivery. We will mediate disputes in good faith. Refunds for disputed items are at our discretion and may include full or partial refunds.

You agree not to: use the Service for unlawful purposes; provide false information; interfere with or disrupt the Service; attempt unauthorized access; sell prohibited products; circumvent the payment system; harass other users; or scrape or reproduce any part of the Service.

The Supligo name, logo, and trademarks are the property of Supligo Inc. Content you submit remains your property, but you grant us a non-exclusive license to use it for operating the Service.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, Supligo shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for the quality, safety, or legality of products sold through the Service.

You agree to indemnify and hold harmless Supligo, its officers, directors, employees, and agents from any claims arising from your use of the Service or violation of these Terms.

You may terminate your account at any time by contacting support. We may suspend or terminate your account for violation of these Terms. Upon termination, outstanding orders will be fulfilled and pending payouts processed.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes shall be resolved in the courts of Ontario.
